GENERAL INFORMATION & DISCLOSURE STATEMENT

DB Financial Management, Inc. (DBFM) is registered with the Securities and Exchange Commission (SEC), the State of California, and the State of Nevada as a Registered Investment Adviser firm. DBFM is staffed by three Investment Adviser Representatives. Donald C Blough is the President and founder of the company and Neil Spellman joined the firm in 2001as a Sr. Vice President. Carol Burchard joined the company in May 2002 as a Vice President. As of February 2007, DBFM managed assets in excess of $67 million.

About Donald C. Blough:

Mr. Blough has evaluated and invested in the stock market for more than twenty-five years. He has extensive expertise in the food service business, with particular emphasis in information systems and technology. Prior to forming his own company, Mr. Blough was a Corporate Vice President and the Chief Information Officer (CIO) for Jack in the Box, Inc. During his 22-year career at Jack in the Box, Mr. Blough held various other positions including Division Vice President of Systems Development. Mr. Blough is a graduate of Temple Business School and received his M.B.A. from National University in 1986.

About Neil Spellman:

Mr. Spellman is a Registered Investment Advisor and has been a registered representative for more than 20 years. Mr. Spellman joined DBFM in 2001. Prior to that, he was a first Vice President at Salomon Smith Barney, a major Wall Street Broker/Dealer, where he managed over $50 million of assets for both equity and fixed income portfolios. Prior to Salomon Smith Barney, Mr. Spellman spent several years working for a California firm specializing in Municipal Bonds. After spending several years serving in the United States Navy, Mr. Spellman graduated cum laude from San Diego State University in 1979 with a B.S. in Finance.

About Carol Burchard:

Ms Burchard is a registered investment advisor specializing in covered call option writing. Joining DBFM in May 2002, Ms Burchard was formerly an investment executive with Spelman & Company and Morgan Stanley Dean Witter. Ms Burchard has a legal background in corporate and securities law and earned her Juris Doctorate from the University of San Diego School of Law in 1989. .
